Major, Lindsey & Africa's Interim Legal Talent has partnered with a financial services technology company based in San Jose on an immediate, direct hire need for a Director, Legal/M&A to serve as the #2 legal counsel to support the M&A side of the business.


ROLE & RESPONSIBILITIES

Client is looking for a senior-level M&A transactions attorney to support acquisitions, divestitures and investments globally. Responsibilities would include:

Leading strategic M&A transactions and corporate finance activities globally, including acquisitions, JVs, equity investments, from pipeline and planning stages through and including integration.

Structure, draft and negotiate complex transaction agreements and lead global multi-functional teams.

Manage internal and external deal processes and drive continuous improvements and scalability in deal processes and execution.

Advise senior management and business clients

Create and manage deal teams with other in-house attorneys, corporate personnel, and outside advisors (including active management of outside counsel) for sophisticated transactions

Work closely with Corporate Development, Regional and Domestic Business Units, Accounting Policy, Finance, Treasury, Tax, and Human Resources functions.

Manage internal team members and constituents and outside advisors, including active management of outside counsel.


Qualifications: active bar license and 9+ years of experience involving sophisticated M&A and corporate finance work. Specifically, a qualified candidate must:

Provide comprehensive M&A transactions experience (domestic, international and cross-border, with a comprehensive understanding of M&A deal structures, documents and legal issues).

Substantial experience in corporate finance matters is highly desirable.
