AVP, Senior Corporate Counsel (Bilingual Spanish)

Job Description

Nature of Work

Responsible for completing work assigned to the Legal Department, as well as providing management and all other departments with legal advice concerning the affairs of the Company and its related companies. This is a hands-on role.

Duties and Responsibilities

Provides legal advice on an ongoing basis.

Reviews, drafts and/or negotiates contracts governing the relationships between the Company and third parties, including developers of member resorts.

Effectuates compliance with all legal requirements and advises all departments within the Company and its related companies of the impact such laws or rules have on them, if any, including, but not limited to, telemarketing registration and compliance, travel and seller of travel, travel insurance registration and compliance, discount buying registration, specialized licenses,

Negotiates business and consumer disputes as effectively and efficiently as possible.

Oversees outside counsel with respect to matters requiring specialized knowledge referred to them, including, but not limited to immigration, service marks and intellectual property and litigation.

Oversees local counsel with respect to matters involving offices and employees located outside of the United States, in particular Mexico, South America and Canada.

Reviews and comments upon disclosure material, terms and conditions, marketing materials, publications, advertising and any other written copy prepared or published by the Company or its affiliates or published on the worldwide web or through the Internet or sent via email

Maintains the corporate records of the Company and its related companies. Supervises the annual corporate filings for the Company and its related companies.

Performs other related duties as required.

Job Requirements

Knowledge, Abilities and Skills

Graduation from an accredited law school with a Juris Doctor degree.

Must possess a Florida bar license or eligibility for in-house counsel certification.

Must possess a minimum 5 – 7 years of legal experience, preferably some or all of it in an in-house counsel position.

Must possess strong written and verbal communication skills, including ability to and interest in preparing and conducting presentations on various legal issues

Must possess a strong personal value system, including positive work ethic.

Must possess excellent interpersonal skills and the ability to work effectively with employees within the department as well as other departments.

Must possess significant experience in contract drafting, review and negotiation.


Physical Requirements

Sitting, manual dexterity (writing, typing, handling), operation of automated equipment i.e., computer.
